Bharti Airtel Receives Overwhelming Shareholder Approval for Airtel Africa Stake Consolidation
Lucknow, June 15, 2026: Bharti Airtel Limited has secured near-unanimous shareholder approval for its proposed transaction to consolidate ownership in its key strategic subsidiary, Airtel Africa plc. The approval underscores strong investor confidence in the company's governance standards and long-term growth strategy.
Under the transaction, Bharti Airtel will issue equity shares on a preferential basis to Indian Continent Investment Limited (ICIL), a promoter group entity, in exchange for ICIL's 16.31% stake in Airtel Africa. The deal is structured as a cashless share-swap transaction.

The proposal received overwhelming support from shareholders, including public and institutional investors, reflecting confidence in the strategic rationale and value-creation potential of the transaction.

By acquiring a significant additional stake in Airtel Africa without any cash outflow or increase in leverage, Airtel aims to strengthen its economic interest in one of its fastest-growing business platforms.
The company said the transaction will also simplify the group's shareholding structure, improve transparency, and reinforce its commitment to high standards of corporate governance and capital efficiency.

Subject to the receipt of all necessary regulatory approvals and completion of the transaction, Bharti Airtel’s effective stake in Airtel Africa will increase to approximately 79%.
The transaction marks another step in Airtel’s long-term strategy of progressively strengthening its ownership in Airtel Africa, a key growth platform that continues to play an increasingly important role in the group’s global expansion plans.
